WASHINGTON ALERT - ESOPs, Employee Ownership Score Major Victories in Congress

Congressional negotiators early this morning released the Consolidated Appropriations Act of 2023 which includes numerous top priority provisions sought by The ESOP Association on behalf of its membership. Included in the bill is a new pro-employee ownership program within the U.S. Department of Labor including more than $50 million in funding over five years, a requirement to provide formal guidance on the valuation of company shares to be bought by an ESOP, an expansion of the 1042 tax benefit to S-corporations, and others.

The ESOP Association Petitions the U.S. Department of Labor for Adequate Consideration Exemption Regulation

On September 22, 2022, The ESOP Association filed a formal petition with the U.S. Department of Labor to undertake a long-delayed rulemaking essential to the formation and ongoing operation of ESOPs.  Since 1974, the DOL has steadfastly refused to fulfil the requirements of ERISA in violation of Congressional direction and stakeholders’ rights.  TEA has filed a petition under the federal Administrative Procedure Act to address this regulatory vacuum.

For over 43 years, The ESOP Association has successfully represented the interests of millions of Employee Owners and their companies in Washington, DC and state capitols across the nation.  The ability to form and operate an Employee Stock Ownership Plan is fundamentally rooted in the laws that were passed to allow their existence.  The ESOP Association’s Advocacy on public policy remains one of the most important services provided by the Association to our members.

The ESOP Association (TEA), the national trade association  representing companies with Employee Stock Ownership Plans (ESOPs) and ESOP  professionals, today exercised rights under the Administrative Procedure Act to petition  the U.S. Department of Labor (DOL) to undertake a long-delayed rulemaking essential  to the formation and ongoing operation of ESOPs. Since 1974, the Department of Labor  has steadfastly refused to fulfill requirements of the Employee Retirement Income  Security Act (ERISA) in violation of Congressional direction and stakeholders’ rights  under the Administrative Procedure Act (APA).
